These Terms and Conditions (“Terms”) govern your access to and use of Designer, an AI-powered website research and redesign software operated by Kylate, which is operated by Pupi.Co Pty Ltd (ABN 82 658 482 814) (“we”, “us”, “our”).

By purchasing, accessing, or using Designer, you agree to be legally bound by these Terms. If you do not agree, you must not use Designer.

1. Governing Law and Jurisdiction

1.1 These Terms are governed by the laws of New South Wales, Australia.

1.2 You irrevocably submit to the exclusive jurisdiction of the courts of New South Wales.

2. About Designer

2.1 Designer is a paid, subscription-based AI software tool designed to assist founders and businesses in improving website messaging and layout through research and AI-generated outputs.

2.2 Designer may:

  • Analyse webpages, URLs, and domains you provide

  • Crawl, copy, store, and process your website content, structure, screenshots, and HTML

  • Research customers, competitors, positioning, language, objections, and market context

  • Generate demo webpages, layouts, copy, messaging frameworks, and reports

2.3 Designer does not:

  • Automatically publish or deploy changes to your live website

  • Guarantee accuracy, performance, or results

  • Replace professional advice, human designers, developers, or marketers

2.4 All outputs are provided for inspiration and guidance only. You are solely responsible for:

  • Verifying accuracy

  • Implementing changes

  • Legal, regulatory, advertising, and compliance review

  • Business decisions and outcomes

3. Website Access, Copying, and Storage Permission

3.1 By using Designer, you expressly grant us permission to:

  • Copy your website or landing pages

  • Take and store screenshots

  • Clone, cache, and store HTML, CSS, text, and structural data

  • Retain this data on our servers and databases

3.2 This permission is required for Designer to function and for us to:

  • Reproduce your website for analysis

  • Generate demo pages

  • Compare outputs

  • Investigate refund abuse or misuse

3.3 You confirm that you have the legal right to provide us access to any website, content, or materials submitted.

4. Subscriptions, Billing, and Auto-Renewal

4.1 Billing commences immediately upon signup, unless a free trial is explicitly offered by Kylate in writing.

4.2 All subscriptions automatically renew by default until cancelled.

4.3 By signing up, you expressly acknowledge and agree that:

  • You understand the subscription is auto-renewing

  • Forgetting to cancel does not entitle you to a refund

4.4 Subscriptions are non-prorated. If you cancel, access remains active until the end of the current billing cycle unless refunded.

4.5 You are solely responsible for managing your subscription and cancellation before renewal.

5. Credits, Usage Limits, and Fair Use

5.1 Designer operates on a credit-based system.

5.2 Credits:

  • Roll over for up to 12 months

  • Immediately expire when your subscription becomes inactive

  • Have no cash value and are non-transferable

5.3 There is a hard usage cap of 32 credit uses per month, regardless of plan.

5.4 We reserve the right to impose additional limits, including:

  • Fair use restrictions

  • Account-level caps

  • One brand, business, or root domain per use

5.5 Abuse, automation, resale of outputs, or attempts to circumvent limits may result in suspension or termination.

6. Refund Policy (14-Day Window)

6.1 You may request a refund within 14 days of your signup date.

6.2 Only your most recent invoice is eligible for refund.

6.3 To receive an automatic refund, you must:

  • Cancel your subscription; and

  • Select the option indicating that you are not happy with the service

6.4 If you do not select this option, you must request a refund by contacting us via email at hey@kylate.co.

We may change this email address at any time by updating these Terms.

6.5 After 14 days, no refunds are provided under any circumstances, except:

  • Where required by Australian Consumer Law; or

  • Where Kylate agrees in writing, at its sole discretion, evaluated case by case

6.6 Where required by law, our obligations are limited to repairing, resupplying, or refunding the service.

7. Refund Abuse and Post-Refund Enforcement

7.1 If you receive a refund and we later determine that:

  • Your live website is clearly and materially inspired by Designer outputs; and

  • A reasonable person would conclude that Designer was used despite the refund

we reserve the right to take enforcement action.

7.2 Enforcement may include, without limitation:

  • Permanent termination of access to Designer

  • Permanent termination of access to Velocity Hub

  • Permanent termination of access to all Kylate and all Pupi.Co Pty Ltd products and services

7.3 Refund abuse is considered a serious breach of these Terms.

8. Velocity Hub (Bonus Access Only)

8.1 Your subscription may include access to Velocity Hub, a private community platform.

8.2 Velocity Hub is:

  • A non-guaranteed bonus

  • Not a core part of Designer

  • Provided at our discretion

8.3 We make no promises regarding:

  • Availability

  • Call frequency

  • Content

  • Moderation

  • Continued access

8.4 Velocity Hub may be modified, restricted, removed, or discontinued at any time without notice and without refund.

9. AI Disclaimer and No Guarantees

9.1 Designer uses artificial intelligence and automated research systems.

9.2 AI outputs may be:

  • Incorrect

  • Incomplete

  • Outdated

  • Misleading

9.3 We make no guarantees regarding:

  • Conversions

  • Revenue

  • Lead quality

  • Accuracy of research

  • Compliance with advertising or consumer laws

9.4 You use Designer entirely at your own risk.

10. Liability and Disclaimers

10.1 Designer is provided on an “as is” and “as available” basis.

10.2 To the fullest extent permitted by law, we disclaim all warranties, express or implied.

10.3 We are not liable for:

  • Business losses

  • Lost profits or revenue

  • Reputational damage

  • Decisions made using Designer outputs

10.4 If we are found liable for any reason, our total liability is strictly limited to AUD $100.

11. Termination and Suspension

11.1 We may suspend or terminate your access at any time, with or without notice, if you:

  • Breach these Terms

  • Abuse refunds

  • Initiate a chargeback

  • Misuse Designer

  • Attempt to reverse-engineer or exploit the system

11.2 Termination results in immediate loss of access with no refund.

12. Chargebacks

12.1 We operate a zero-tolerance chargeback policy.

12.2 Initiating a chargeback without contacting us first will result in:

  • Immediate and permanent termination of your account

  • Permanent ban from all Kylate and all Pupi.Co Pty Ltd products and services

13. Changes to the Service and Terms

13.1 Designer is an evolving product. We may add, modify, restrict, or remove features at any time.

13.2 We may update these Terms at any time. Continued use constitutes acceptance of the updated Terms.
